Cerolini & Ferrari Abogados advised Pimento S.R.L. (the «Issuer«), in its capacity as issuer, and Fretes & Grinenco advised: i) Banco de Galicia y Buenos Aires S.A. in its capacity as arranger, placement agent and guarantee entity; and ii) PP Inversiones S.A. in its capacity as placement agent and settlement agent, in connection with the issuance of the PyME CNV Garantizada Series I Class I Notes (the «Series I Class I Notes«) and the Series I Class II Notes (the «Series I Class II Notes» and, together with the Series I Class I Notes, the «Notes«), under the Public Offering Regime with Automatic Authorization for Low Impact Issuances of the Argentine Securities Commission.
The Series I Class I Notes were issued on September 3, 2026, in an aggregate principal amount of $1.500.000.000, maturing in September 2028, at a floating interest rate with a cut-off margin of -1.01. The Series I Class II Negotiable Obligations were declared unsuccessful.
The Notes are fully guaranteed by Banco de Galicia y Buenos Aires S.A. for up to $1,500,000,000, as Guarantee Entity authorized by the Argentine Securities Commission, in accordance with the guarantee certificate granted.
The offering of the Notes was directed to the general public and the Notes have been authorized for listing on Bolsas y Mercados Argentinos S.A. (ByMA) and for trading on A3 Mercados S.A. (A3).
The Issuer is a company with more than twenty (20) years of experience in the purchase and sale of used vehicles in the City of Buenos Aires and the Province of Buenos Aires, and currently operates from Shopping Norcenter (Munro).
