TCA Tanoira Cassagne advised Pedrolga S.A. as issuer (the “Issuer”), and Cerolini & Ferrari Abogados advised Banco Mariva S.A, Banco Supervielle S.A., Macro Securities S.A.U., Banco de Galicia y Buenos Aires S.A. and Banco Patagonia S.A. in their capacity as arrangers and placement agents (the “Placement Agents”), and to the Placement Agents and Banco Macro S.A. in their capacity as guarantee entities in the issuance of Series II notes for an aggregate amount of AR$4,500,000,000, denominated and payable in Argentine Pesos, maturing on September, 7 2028 and which will accrue interest at a floating rate equal to the Private TAMAR Rate plus a -1,61% margin, issued under the Low-Impact Public Offering Regime with Automatic Authorization (the “Notes”).
The Notes are fully guaranteed by Banco Mariva S.A., Banco Supervielle S.A., Banco Macro S.A., Banco de Galicia y Buenos Aires S.A. and Banco Patagonia S.A. as Guarantee Entities authorized by the National Securities and Exchange Commission (CNV for its acronym in Spanish).
Pedrolga S.A. is a family-owned company with more than fifty years of experience in transportation and logistics, with both national and international presence. It currently participates in sand transportation for the oil and gas industry in Vaca Muerta, and provides dry and refrigerated storage services, specially equipped for food products. Its main base of operations is located in Villa María, and it has operational centers in General Roca and Añelo.
