Cerolini & Ferrari Abogados advised Demagro S.R.L. (the «Issuer«), in its capacity as issuer, and Fretes & Grinenco advised Banco de Galicia y Buenos Aires S.A. in its capacity as arranger, placement agent and guarantee entity, in connection with the issuance of the PyME CNV Garantizada Series I Class I Notes (the «Series I Class I Notes«) and the Series I Class II Notes (the «Series I Class II Notes» and, together with the Series I Class I Notes, the «Notes«), issued under the Public Offering Regime with Automatic Authorization for Low Impact Issuances of the Argentine Securities Commission, in an aggregate principal amount of up to $1,000,000,000.
The Series I Class I Notes were issued on August 27, 2026, in an aggregate principal amount of $727,176,437, maturing in August 2028, at a floating interest rate with a cut-off margin of -0.50%; and the Series I Class II Notes were issued in an aggregate principal amount of US$181,816, maturing in August 2028, at an interest rate of 9.50%.
The Notes are guaranteed by Banco de Galicia y Buenos Aires S.A. for up to $1,000,000,000, as Guarantee Entity authorized by the Argentine Securities Commission, in accordance with the guarantee certificate granted.
The offering of the Notes was directed to the general public and the Notes have been authorized for listing on Bolsas y Mercados Argentinos S.A. (ByMA) and for trading on A3 Mercados S.A. (A3).
The Issuer is an official New Holland dealer with over 30 years of experience in the agricultural sector, headquartered in the city of Arequito, Province of Santa Fe, with branches in Sinsacate (Province of Córdoba), Quimilí (Province of Santiago del Estero), Charata (Province of Chaco) and Mendoza. It is engaged in the sale of agricultural machinery —tractors, harvesters, seeders, sprayers, balers and other implements—, spare parts and accessories, as well as in the provision of precision agriculture solutions, including the sale, installation, configuration and support of guidance and connectivity technologies for agricultural equipment.
