Cerolini & Ferrari Abogados advised San Bautista del Sur S.A. (“San Bautista”) in the first issuance of notes of San Bautista under the Régimen PyME CNV Garantizada for a value of ARS$300.000.000 (the “Notes”).

San Bautista is a national capital company that has been operating in the livestock market since 2017. The company’s specific activities include cattle breeding, production of agricultural crop seeds, cultivation of forage crops, and seasonal crops.

Likewise, the company has a professional management team with active participation from shareholders in the daily management of the company. They also have a specialized technical team to achieve the highest quality standards in terms of the development of the animals raised on their farms. The main products marketed by the company include weaned calves, forage crops, and other agricultural crops.

On August 29, 2023, San Bautista issued Series I of Notes for a nominal value of $300,000,000, at a variable interest rate equivalent to the Badlar Rate plus an applicable margin of 0%, payable quarterly, and at an issue price of 100% of the nominal value of the Notes.

The maturity date of the Notes will be August 2025, and their principal will be amortized in 3 consecutive semi-annual installments starting from month 12 counting from the issuance date. These installments will be equivalent to 33% of the principal of the Notes in months 12 and 18, and 34% in month 24.

The offering was directed to the local market and the Notes have been authorized for listing and trading on the Mercado Abierto Electrónico S.A. (MAE).

Banco de Servicios y Transacciones S.A., Banco CMF S.A., Banco Mariva S.A. and Macro Securities S.A.U. acted as arrangers and placement agents of the Notes, and additionally, Banco CMF S.A., Banco Mariva S.A., and Banco Macro S.A. acted as guarantors of the Notes.
