Cerolini & Ferrari advised in the initial issuance of Agrotecnología Sala

Cerolini & Ferrari Abogados advised Agrotecnología Sala S.A. and Banco Supervielle S.A., Banco Comafi S.A., Comafi Bursátil S.A. and Mediterránea Valores y Acciones S.A. in the first issuance of notes of Agrotecnología Sala under the Régimen PyME CNV Garantizada for a value of US$ 1.428.548 (the «Notes«).

Agrotecnología Sala is a company linked to agriculture since its beginnings, it has been an official dealer of John Deere for 65 years. The business model involves different areas: machinery, after-sales, integral solutions, tires, and as of 2021 the bridgestone agricultural tires division was incorporated. The company’s growth has always been managed in a sustainable manner, and for this reason it is currently in the process of obtaining ISO 140001 environmental certification and ISO 45001 health and safety certification.

In this context, on September 11, 2023, Agrotecnología Sala issued Series I of Notes for a value of US$ 1.428.548 without interest and at an issue price equivalent to 112.05% of the nominal value of the Notes.

The maturity date of the Notes will be September 2025, and their principal will be amortized in three installments.

The offering was directed to the local market and the Notes have been authorized for listing and trading on the Mercado Abierto Electrónico S.A. (MAE) and Bolsas y Mercados Argentinos S.A. (ByMA).

 

Banco Supervielle y Banco Comafi acted as arrangers, placement agents and guarantors of the Notes, and Comafi Bursátil and Mediterránea Valores as placement agents.
